Thrilled to introduce @SoxtonAI! We help founders nail legal at the speed of innovation without the price of big law.

I am a founder building the type of law firm I'd want to use.

Thank you @meliarobin and @BusinessInsider for covering our launch!

Work at Soxton!! We’ve got folks from all the top law firms working with the latest technology to bring high quality legal to more people!!

Work with good people (with flexibility) at the cutting edge of what’s possible for a good mission?! What more can you ask for.

We’ve partnered with some of the best names in tech to allow companies of any size prevent legal from becoming a barrier to starting.

We also have a lot of fun :)
I would be *extremely* nervous this morning if I woke up as an associate at a big prestigious firm with a big salary, lifestyle, and family, but with debt and little visibility into what’s really going on and limited exit options to sustain my lifestyle.

but more seriously, I encourage all big law lawyers to think more about their careers.

AI, private equity, loyalty shifts are all making big law way less stable. What would you do if your firm went out of business tomorrow/do you want to spend your days doing your current role for a firm the might?

The upside has also never been higher. AI is allowing for more value to be created in legal innovation. There are new jobs that product better outcomes for customers and are also way more fun to work.

At @SoxtonAI , we're hiring the best talent on solving a really big problem (how more people can get access to high quality legal). We play a small journey in helping our thousands of customers do incredible work.

If you're being impacted by Weil or just rethinking your life path, please reach out.
one of my big predictions is that big law flattens and that we see many law firms become skeletons of themselves.

lawyers are no longer loyal to specific firm. ai allows for partners to leave and start practices without the firm's resources. I think we'll see more of this!

We love hosting dinners at our office/art gallery!! One of the highest leverage things we've done within @SoxtonAI is let other folks host out of our space (a functioning art gallery).

It's such a fun way to be part of the ecosystem. Ty @deel @rhobusiness @slow and ofc @kneeco__ for the best food
Last night’s dinner with @loganbrown799 of @SoxtonAI, @nathansnonsense, @slow, and @rhobusiness. Soxton’s menu-signing habit is a simple way of keeping a record of who was in the room. Huge shoutout to Nico Savore (nicooks.com) for the homemade Italian.

Just moderated a panel with 3 VCs who started off in traditional careers, had a v successful startup journey, and then became a capital allocator. All struggled along the way.

TLDR: take the risk. You only get one life.

My final question was what are u most proud of in your career.

Marcus Ryu (battery/guidewire) explained how an employee weeped to him about being able to travel internationally and put his kids through college.

Guy Fillipelli (squadra) has invested in companies making soldiers/the country safer. He’s also set up a foundation to help folks excel after leaving the military.

Saj Cherian (fanatics) is literally changing how manufacturing is done at scale (and bringing it back to America)

Number one mistake we see early founders make. VCs will send side letters with as many rights as possible. First time founders are grateful to be getting a check and sign without negotiating. It’s normal to negotiate!
Abstract the details of the Valar thing away - one obvious lesson is founders should be more discerning in giving out pro rata.

Can't tell you the number of SAFE side letters we'd see at Carta with pro rata just tossed in and undiscussed!

Took a venture law course in law school. Typically law school courses are taught via the written decisions of judges on relevant topics. It wasn't possible for VC Law bc there are so few lawsuits (and most of them were like Amazon suing a strategic). Everything is built on trust. This is crazy (or maybe another sign that venture is changing)
My view of pro rata has always been that’s it’s a legal fiction because “what are investors gonna do, sue you to invest in the business?”

Turns out, yes!

Work at @SoxtonAI. You can spend your days running an underground bank merch marketplace. Also come to our party and win some of this.
We're throwing an IPO party tonight and raffling off an Oura ring. Team is contemplating if she should Oura rings away from guest instead.

You should still come. It's in NYC. We have IPO themed drinks, raffles, and more. Also there's a psychic that will predict if your company will go public or not.

PSA TO ALL FMR BIG LAW MOMS: We would love to have you work part time on your own terms at @SoxtonAI
Posted a video on another platform a few hours ago gauging interest in a marketplace for moms that had big careers before babies that still want to work but on a different schedule. Has completely blown up with interest from women. Not fully baked, but something should exist where women dont have to start their own consulting firms but can opt into a role/project on their own terms that are highly qualified. See plenty of vertical marketplaces for “legal on demand” but something more specific for this demographic. Based on the comments so far, women WANT to keep working but need the baby years to be flexible. Anyone want to build this?

At Soxton, we help startups incorporate and manage day to day stuff. I joke that we're about a month before VC essays on startup trends.

Over the weekend, we had a bunch of requests to help get terms/conditions ready for @Muse's Third Party Connector directory. I anticipate more requests as @stripe and other agentic directory/connectors picks up. It's fun to be part of new legal precedents being created (and also an example of AI creating new types of works for lawyers)

We also have an incorporation MCP if you want to set up your new entity/manage legal filings from the same place you're managing the day to day.
@mvanhorn this is why we built stripe.directory too, you shouldn’t have to know the tools but your agent should be able to look them up to solve your problems

We also continue to do contracts and outside gc work for $200 a contract w 24 hour return times. Experienced lawyers in the loop always
@loganbrown799the biggest disruptable opportunity is for man co tasks, not deal tasks

I’ll say the quiet part out loud. Most deal side services get expensed to the company and $20k vs $40k likely doesn’t move the needle much when it’s a $20m Series A (or is that a seed round nowadays🤣)

For manco tasks like offer letters / 83bs, filings, LP transfers, etc….this is stuff that comes right out of our budget and a $100m fund is getting $2m in fees per year. If you can prices those services cheaper than others AND do them quickly (the only thing scarcer than management fees for an emerging manager is time), then you will pick up a LOT of clients

A few years ago all the traditional banks bought a cap table tool for top of funnel to enter startup banking (mostly after the SVB issue). Most of them still over free cap table management.

None have really worked out all that well (clearly bc no one on x is contemplating going to Global Shares by JP Morgan or Fidelity Private Shares).

I am really surprised by this. Loved using Pulley as a lawyer. Found their modeling tools were far better. (also love @cartainc )
Wow, sad day. Pulley is shutting down, looks like Carta is picking up the business / referral engine.

As a former-AngelList-er, I still do not grok how these businesses run unprofitably and have high hopes for a new entrant who will take down the cap table giants
