Salesforce($CRM) signed a definitive agreement to acquire Braze for approximately $5.66Billion in enterprise value.
Holders of Braze Class A common stock will receive $47.50 in cash per share. Close is expected in Salesforce’s fiscal year 2028, subject to shareholder approval es.
Braze is a customer engagement platform that turns live behavior into personalized messages and journeys across mobile apps, websites, email, SMS, & WhatsApp. It serves roughly 2,770 customers, including Canva, Instacart, and Venmo. Salesforce plans to fold the real time engagement & AI decisioning capabilities into Data 360, Customer 360, Agentforce, and SIForce so brands can move from scheduled campaigns to responses triggered by actual customer moments.
The same week Proofpoint agreed to acquire Varonis for approximately $6.3Billion in an all cash transaction at $49.75 per share. Close is targeted for the first half of 2027.
Varonis locates & classifies sensitive data across cloud, SaaS, and on premises systems, maps who has access, and monitors how it is used.
Proofpoint already covers email, cloud, and collaboration threats involving people and AI agents. The combination is aimed at a single platform that protects the data powering agents and governs what both humans and agents are allowed to do with it.
Once combined the companies expect to serve more than 16,000 enterprise customers.
Both deals buy a missing piece rather than only a larger check. Salesforce is adding the real-time behavioral layer that its marketing stack has historically lacked. Proofpoint is adding the data posture and access controls that become necessary once agents start acting on sensitive information.
Neither announcement disclosed a new capital raise. Both named the complementary capability the buyer did not already own.
Salesforce benefits if the Braze integration actually shortens the path from customer event to relevant message without losing the existing Braze relationships. Proofpoint benefits if the Varonis data controls land cleanly inside its agent security stack before agentic workflows scale further. Customers of either company benefit if the combined platforms reduce the number of separate tools required to engage or to secure data.
The facts that will decide the outcome are the regulatory and shareholder clocks on both deals, whether Braze’s real time layer integrates without a long migration, and whether the Proofpoint & Varonis combination ships a unified data and AI security product on the stated timeline.
